CONTRATTO DI LICENZA D’USO GRATUITO DEI
SOFTWARE EEMverter Lite e EEMstudio Lite

The EEM Team Spin-Off company S-R.L., P.IVA 13513520968, con sede in Via Amatore Sciesa 14, 20135 Milano, in persona di Gianluca Fiandaca, nella sua qualità di Rappresentante Legale,
di seguito denominato “Licenziante”
e
[Nome Cognome]
di seguito denominato “Licenziatario”

Premesso che:

• Il Licenziante è il proprietario del software denominato EEMverter Lite, di seguito denominato “Software”
• Il Licenziante è il proprietario del software denominato EEMstudio Lite
• Il Licenziatario è interessato ad ottenere una licenza d’uso gratuita dei Software EEMverter Lite e EEMstudio Lite secondo i termini e le condizioni stabilite nel presente contratto.

Si conviene e si stipula quanto segue:

1. Oggetto della Licenza

Il Licenziante concede licenza d’uso gratuita, non esclusiva, non trasferibile e revocabile ex art. 14, del Software al Licenziatario che conseguentemente acquista il diritto di installare, eseguire ed utilizzare il Software nel rispetto di quanto pattuito.
In particolare, il licenziatario non può distribuire né gratuitamente né a pagamento il Software, ma può utilizzare i risultati del suo utilizzo per i suoi scopi professionali.

2. Durata della Licenza

La presente licenza è temporanea e decorre dal giorno della sottoscrizione sino al 31 Dicembre 2026, data in cui cesserà automaticamente senza ulteriori comunicazioni e fatta salva la risoluzione di cui all’art. 9.

3. Ambito geografico

Il Licenziatario potrà utilizzare il Software senza limiti geografici in qualsiasi parte del mondo autorizzando espressamente il Licenziante alla mappatura e rilevazione geografica dei punti di utilizzo che potranno essere pubblicizzati in forma anonima dal Licenziante sui propri canali di divulgazione.

4. Diritti e Obblighi del Licenziatario 

Il Licenziatario si impegna a: 

1. Utilizzare il Software esclusivamente per scopi leciti e in conformità con le istruzioni fornite dal Licenziante. 
2. Non copiare, modificare, personalizzare, cedere o distribuire gratuitamente o dietro corrispettivo il Software. 
3. Non creare opere derivate dal Software senza il consenso scritto del Licenziante. 
4. Non decompilare o disassemblare il Software per accedere al codice sorgente o alla struttura interna (divieto di reverse engineering). 
5. Utilizzare il Software in modo da non ledere il prestigio, il decoro e/o la fama del Licenziante. 
6. Non utilizzare il Software per scopi contrari all’etica. 
7. Non esportare il Software in violazione delle leggi di controllo delle esportazioni applicabili nel proprio paese o in qualsiasi altra giurisdizione. 
8. Non divulgare le informazioni riservate relative al Software in qualsiasi modo acquisite. 
9. Non utilizzare i loghi EEMverter Lite e EEMstudio Lite in alcun modo se non previa espressa autorizzazione scritta
   del Licenziante.

5. Diritti del Licenziante 

Il Licenziante detiene la Proprietà Intellettuale dell’originale e di tutte le copie del Software. 
Il Licenziante conserva tutti i diritti su concetti, idee, Know-how e tecniche relative al funzionamento del Software che sono protetti dalle Leggi sul Copyright e altre Leggi relative alla Proprietà Intellettuale. 

La presente licenza non trasferisce alcun diritto di proprietà sul Software e non cede alcun diritto sul codice sorgente originale. Tutte le tecniche, gli algoritmi e i processi contenuti nel Software e nella relativa documentazione sono informazioni protette dal diritto di Autore, sono di proprietà del Licenziante e non possono essere usate dal Licenziatario per scopi diversi da quelli indicati nella presente Licenza. 

Ogni utilizzo del Software al di fuori dei termini di concessione della presente licenza costituisce violazione del Copyright. 

6. Garanzia e Responsabilità 

Il Licenziante non garantisce che il Software sia privo di errori o che soddisfi le esigenze del Licenziatario. In nessun caso il Licenziante sarà responsabile per danni diretti o indiretti derivanti dall’utilizzo del Software concesso in uso. Il licenziante non risponde in alcun modo del mancato funzionamento del Software per cause a lui non imputabili.  

Per tutta la durata del contratto il Licenziante non è tenuto a rilasciare alcun aggiornamento del Software e non fornirà alcun supporto tecnico al Licenziatario.  

7. Immodificabilità del Software 

Il Licenziatario non potrà in alcun modo modificare il Software ad esempio: non potrà tradurre, adattare, trasformare o modificare in qualsiasi modo il Software oggetto della presente licenza. 

8. Cessazione della licenza d’uso 

Dopo lo scadere del termine della presente licenza, o in caso di risoluzione anticipata della stessa, il Software smetterà di funzionare ed il Licenziatario cesserà di utilizzare la presente licenza con effetto immediato. 

9. Risoluzione 

Le Parti concordemente dichiarano che la presente Licenza sarà risolta di diritto, ai sensi e per gli effetti dell’art. 1456 c.c., in caso di inadempimento ad uno degli obblighi previsti dagli artt. 1 (Oggetto della licenza), 4 (Diritti ed obblighi del Licenziatario), 5 (Diritti del Licenziante), 7 (Immodificabilità del Software), 10 (Privacy), 12 (Controllo licenza online), 13 (Aggiornamento del Software) e 14 (Cessazione unilaterale della licenza). La risoluzione avrà effetto non appena il Licenziante avrà comunicato al Licenziatario, tramite mail all’indirizzo fornito in sede di sottoscrizione, la propria intenzione di avvalersi della presente clausola risolutiva espressa. 

10. Trattamento dei dati personali (Privacy) 

Il Licenziatario prende atto che il Software, per il suo corretto funzionamento, potrebbe richiedere la raccolta di dati personali relativi all’utilizzo (es. mappatura geografica anonima, frequenza d’uso, ecc.) per finalità di controllo della licenza, miglioramento del prodotto e per le attività di pubblicità come da art. 3. 

Il Licenziante si impegna a trattare i dati personali del Licenziatario in conformità con il Regolamento Generale sulla Protezione dei Dati (GDPR – Reg. UE 2016/679) e la normativa italiana applicabile. L’informativa completa sul trattamento dei dati è disponibile sul sito web del Licenziante. Il Licenziatario si impegna, a sua volta, a rispettare il GDPR e le normative applicabili nell’utilizzo del Software.  

11. Legge Applicabile e Foro Competente 

Il presente contratto è regolato dalla Legge italiana. Per qualsiasi controversia che dovesse insorgere in ordine all’interpretazione, alla validità ed alla esecuzione del presente accordo sarà competente in via esclusiva il Foro di Milano, intendendosi consensualmente derogata ogni diversa norma di competenza giudiziaria. 

12. Controllo licenza online 

Il Software richiede una connessione a Internet attiva ad ogni esecuzione per consentire al Licenziante di effettuare controlli sulla validità della licenza. L’uso del Software in modalità offline non è consentito e il funzionamento non avviene in caso di mancato contatto con il server di licenza. È severamente vietato rimuovere, aggirare o disabilitare il sistema di controllo licenza online.

13. Aggiornamento del Software 

Il Licenziante può procedere, a proprio insindacabile giudizio, ad aggiornamenti forzati del Software, dandone un preavviso di 5 giorni. In questo caso, verrà rilasciato un aggiornamento che funzionerà in parallelo con la vecchia versione per un periodo di 5 giorni. 

Al sesto giorno, la vecchia versione cesserà definitivamente di funzionare. La comunicazione di aggiornamento forzato sarà inviata via e-mail all’indirizzo fornito dal Licenziatario al momento della sottoscrizione, ed è l’unica modalità di notifica valida ed efficace per l’esercizio di tale diritto. 

14. Cessazione unilaterale della licenza 

Il Licenziante si riserva il diritto di cessare unilateralmente e in qualsiasi momento la licenza d’uso, dandone un preavviso di 30 giorni. La comunicazione di cessazione sarà inviata via e-mail all’indirizzo fornito dal Licenziatario al momento della sottoscrizione, ed è l’unica modalità di notifica valida ed efficace per l’esercizio di tale diritto. 

15. Licenza del software EEMstudio Lite e utilizzo del logo 

Il software EEMstudio Lite è distribuito secondo la licenza GNU General Public License version 3 (https://www.gnu.org/licenses/gpl-3.0.en.html#license-text). Il logo del software EEMstudio Lite è di esclusiva proprietà del Licenziante. Il Licenziatario si impegna a non utilizzare il logo EEMstudio Lite in alcun modo se non previa espressa autorizzazione scritta del Licenziante. 

16. Lingua di stipula 

La lingua di stipula del contratto è l’italiano per tutti gli effetti legali. 

FREE USE LICENSE AGREEMENT FOR THE
EEMverter Lite AND EEMstudio Lite SOFTWARE

Between:

The EEM Team Spin-Off company S.R.L., VAT No. 13513520968, with registered office at Via Amatore Sciesa 14, 20135 Milan, represented by Gianluca Fiandaca, in his capacity as Legal Representative,
hereinafter referred to as the “Licensor”
and
[Name Surname]
hereinafter referred to as the “Licensee”

Whereas:

• The Licensor is the owner of the software called EEMverter Lite, hereinafter referred to as the “Software”
• The Licensor is the owner of the software called EEMstudio Lite
• The Licensee is interested in obtaining a free use license for the Software EEMverter Lite and EEMstudio Lite according to the terms and conditions set forth in this agreement.

The following is hereby agreed and stipulated:

1. Scope of the License

The Licensor grants a free, non-exclusive, non-transferable, and revocable license pursuant to art. 14, of the Software to the Licensee, who consequently acquires the right to install, execute, and use the Software in accordance with the agreement.

Specifically, the Licensee may not distribute the Software, either free of charge or for a fee, but may use the results of its use for its own professional purposes.

2. Term of the License

This license is temporary and runs from the date of subscription until December 31, 2026, when it will automatically terminate without further notice and subject to the termination pursuant to Article 9.

3. Geographical Scope

The Licensee may use the Software without geographical restrictions anywhere in the world, expressly authorizing the Licensor to map and geographically identify the points of use, which may be anonymously publicized by the Licensor on its communication channels.

4. Rights and Obligations of the Licensee 

The Licensee undertakes to: 

1. Use the Software exclusively for lawful purposes and in accordance with the instructions provided by the Licensor.
2. Not to copy, modify, customize, assign, or distribute the Software, whether free of charge or for a fee. 
3. Not to create derivative works of the Software without the written consent of the Licensor. 
4. Not to decompile or disassemble the Software to access the source code or internal structure (reverse engineering prohibited). 
5. Not to use the Software in a manner that does not damage the prestige, dignity, and/or reputation of the Licensor. 
6. Not to use the Software for unethical purposes.
7. Not to export the Software in violation of the export control laws applicable in your country or any other jurisdiction.  
8. Not to disclose confidential information relating to the Software, however acquired. 
9. Not to use the EEMverter Lite and EEMstudio Lite logos in any manner without the express written permission of the Licensor.

5. Licensor Rights 

The Licensor retains the Intellectual Property Rights of the original and all copies of the Software. The Licensor retains all rights to the concepts, ideas, know-how, and techniques relating to the operation of the Software, which are protected by Copyright and other Intellectual Property Laws. 

This license does not transfer any ownership rights to the Software or any rights to the original source code. All techniques, algorithms, and processes contained in the Software and related documentation are copyrighted information, are the property of the Licensor, and may not be used by the Licensee for purposes other than those set forth in this License. 

Any use of the Software outside the terms of this license constitutes a copyright infringement.

6. Warranty and Liability 

The Licensor does not warrant that the Software is error-free or that it will meet the Licensee’s requirements. Under no circumstances will the Licensor be liable for direct or indirect damages arising from the use of the licensed Software. The Licensor shall not be liable in any way for failure of the Software due to causes beyond its control.  

For the entire term of the agreement, the Licensor is not obligated to release any updates to the Software and will not provide any technical support to the Licensee. 

7. Unmodifiability of the Software 

The Licensee may not modify the Software in any way; for example, it may not translate, adapt, transform, or otherwise modify the Software covered by this license.  

8. Termination of the License 

After the expiration of the term of this license, or in the event of early termination, the Software will cease to function and the Licensee will cease using this license with immediate effect.  

9. Termination 

The Parties agree that this License will be automatically terminated, pursuant to and for the purposes of art. 1456 of the Italian Civil Code, in the event of failure to comply with any of the obligations set forth in Articles 1 (Object of the License), 4 (Rights and Obligations of the Licensee), 5 (Rights of the Licensor), 7 (Unmodifiability of the Software), 10 (Privacy), 12 (Online License Control), 13 (Software Updates) and 14 (Unilateral Termination of the License). Termination will take effect as soon as the Licensor has notified the Licensee, via email to the address provided during the subscription, of its intention to avail itself of this express termination clause.

10. Processing of Personal Data (Privacy) 

The Licensee acknowledges that the Software, for its proper functioning, may require the collection of personal data relating to usage (e.g., anonymous geographic mapping, frequency of use, etc.) for license control purposes, product improvement, and for advertising purposes pursuant to Article 3. 

The Licensor undertakes to process the Licensee’s personal data in accordance with the General Data Protection Regulation (GDPR – EU Regulation 2016/679) and applicable Italian law. The complete information on data processing is available on the Licensor’s website. The Licensee, in turn, undertakes to comply with the GDPR and applicable regulations when using the Software. 

11. Applicable Law and Jurisdiction 

This agreement is governed by Italian law. Any dispute arising from the interpretation, validity, and performance of this agreement shall be submitted exclusively to the Court of Milan, with any other jurisdictional rules being mutually waived.

12. Online License Verification 

The Software requires an active Internet connection at each execution to allow the Licensor to perform license validity checks. Offline use of the Software is not permitted, and it will not function if there is no contact with the license server. Removing, circumventing, or disabling the online license verification system is strictly prohibited.

13. Software Updates 

The Licensor may, at its sole discretion, perform forced Software updates, providing 5 days notice. In this case, an update will be released that will function alongside the old version for a period of 5 days.

After the sixth day, the old version will permanently cease to function. Notice of forced upgrade will be sent via email to the address provided by Licensee upon subscription, and is the only valid and effective means of notification for the exercise of this right.  

14. Unilateral Termination of License 

The Licensor reserves the right to unilaterally terminate the license at any time by providing 30 days’ notice. Notice of termination will be sent via email to the address provided by Licensee upon subscription, and is the only valid and effective means of notification for the exercise of this right.

15. EEMstudio Lite Software License and Use of Logo 

The EEMstudio Lite software is distributed under the GNU General Public License version 3 (https://www.gnu.org/licenses/gpl-3.0.en.html#license-text). The EEMstudio Lite software logo is the exclusive property of the Licensor. The Licensee agrees not to use the EEMstudio Lite logo in any manner without the express written permission of the Licensor.  

16. Language of Contract 

The contract is concluded in Italian for all legal purposes.
